1. Acceptance of TermsBy accessing or using the Linkorium service ("Service"), you agree to be bound by these Terms of Service, our Privacy Policy, and all applicable laws and regulations. If you do not agree, do not use the Service.

2. Changes to TermsLinkorium may modify these Terms at any time. We will post the revised Terms with an updated "Last Updated" date. Your continued use after changes constitutes acceptance.

3. The ServiceLinkorium provides a SaaS platform for saving, organizing, and interacting with bookmarks and files. We reserve the right to modify or discontinue features at any time, without notice or liability.

4. User Content & Intellectual Property

4.1 Ownership; Responsibility for Compliance. You retain all ownership rights in and are solely responsible for any content, information, data, text, graphics, photos, videos, or other materials ("Your Content") that you upload, post, transmit, or otherwise make available through the Service. You represent and warrant that Your Content:

  1. Complies with all applicable local, national, and international laws and regulations, including those governing defamation, privacy, data protection, export control, and consumer protection;
  2. Does not infringe or misappropriate any third party's copyright, trademark, patent, trade secret, right of publicity, or other intellectual property or proprietary rights;
  3. Does not violate any contractual obligations you may have with any third party.

4.2 Indemnification. You agree to defend, indemnify, and hold harmless Linkorium, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with Your Content or your breach of the foregoing representations and warranties.

4.3 Limited License to Provide the Service. By making Your Content available, you grant Linkorium a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify, create derivative works of, communicate, publish, publicly perform, and display Your Content solely for the purpose of operating and improving the Service.

5. Prohibited ConductYou agree not to use the Service to upload or distribute any content that is illegal, harmful, abusive, or objectionable. Linkorium reserves the right to remove or disable access to any content that violates these Terms.

6. TerminationWe may suspend or terminate your account and access to the Service at our sole discretion, with or without notice, for any violation of these Terms or any applicable law.

7. Disclaimers; Limitation of LiabilityThe Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind. To the fullest extent permitted by law, Linkorium disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. In no event will Linkorium be liable for any indirect, incidental, special, or consequential damages.

8. Governing LawThese Terms and any disputes arising hereunder are governed by the laws of the State of Delaware, United States of America, without regard to conflict of law principles.

9. Dispute ResolutionAny dispute, controversy, or claim arising out of or relating to these Terms shall be finally resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, in Wilmington, Delaware.
